- Best practices for TS protection require that collaborators set forth their commitment to TS protection in their fundamental deal documents. Documents should clearly set forth obligations to preserve secrecy for any TS contributed by either party.
- Cross-border contracts require additional attention. United States companies collaborating with entities outside of the United States should pay special attention to ensuring that both contributed and jointly developed TS are adequately protected. This should include both defining the substantive law that will apply to assessing the creation, maintenance and ownership of TS, and also including contractual provisions that provide for the exchange of information in the event of a dispute.
- Understand the impact of dispute resolution clauses – especially in connection with cross-border contracts. Even among United States companies that generally disfavor arbitration in their domestic contracts often include arbitration and other dispute resolution procedures in cross-border contracts. It is important for collaborators to understand how the selection of a seat of arbitration and the rules governing arbitration impact potential disputes.
