Currently, disclosure requirements for ESG issues under the U.S. securities laws depend on whether it poses material risks to the business of an issuer. However, the present landscape provides no law urging issuers to make ESG declarations if they are not material. Recent U.S. case laws also stress that statements from ESG are admissible unless they are found to be materially false or misleading. As a result, there is an increasing frustration with the current standards and questions on effective compliance.
